Why “Wait and See” is the Worst Strategy in a Business Dispute

by | Insights, Partnerships

When a business dispute first arises, it can be tempting to take a “wait and see” approach. While you might hope that a disagreement with a partner, customer, vendor, or other party will resolve itself without legal intervention, delaying action can make it more difficult to protect your interests. Early legal guidance can help you understand your rights, preserve important evidence, and determine how best to respond before the dispute escalates any further.

Here are some reasons why taking a “wait and see” approach is typically the worst strategy when faced with a business dispute:

The Dispute May Escalate While You Wait

A relatively minor business disagreement can become harder to resolve if neither party takes measures to address it. For example, a contract dispute that involves continued nonperformance, missed payments, or additional monetary losses while the parties remain at an impasse can result in significant financial losses. Similarly, a disagreement between business partners can impact operations, stability, finances, and relationships with customers and clients.

Critically, consulting a business litigation attorney at the first signs of a dispute does not always mean filing a lawsuit. It can provide an opportunity to assess the situation and explore negotiation, mediation, or arbitration. The longer a dispute goes unaddressed, the fewer options remain for resolving it efficiently and preserving the business relationship.

Evidence Can Become More Difficult to Preserve as Time Goes On

Business disputes often hinge upon documents, communications, financial records, contracts, and other key evidence. By waiting too long, you run the risk that these records may be deleted or become more difficult to obtain. In addition, a duty to preserve relevant information arises once litigation is reasonably anticipated, and failing to do so can lead to sanctions.

Once a dispute has developed, businesses should take reasonable steps to preserve information that may be relevant in litigation, such as by issuing a litigation hold and suspending automatic deletion of emails. This can help prevent avoidable evidentiary issues later.

Legal Deadlines Might Limit Your Options

Many legal claims are subject to strict statutes of limitations or other deadlines. Depending on the nature of the dispute, contractual notice requirements or other procedural notice requirements may also apply. Waiting until a dispute has become urgent can leave less time to evaluate potential claims and take appropriate action. While the applicable statutes of limitations can depend upon the specific claims and legal theories involved, it’s essential to consult with a business litigation attorney as soon as possible who can help ensure that any deadlines are identified and met before they pass.

Delay Can Weaken Your Negotiating Position

Timing isn’t only important in cases involving litigation. It can also be crucial when it comes to negotiating a business dispute. If one party continues to incur losses or allows the other party to control important information or assets, the consequences can become more difficult to reverse. Continuing to perform or accepting performance after a breach can also complicate your claim.

Early legal guidance can help you identify your objectives and understand what remedies may be available. It can also provide a framework for communicating with the opposing party and negotiating from an informed position. In some cases, a well-timed demand letter or other formal communication may resolve the issue before a lawsuit is ever filed.
